Terms and Conditions of Use

These Terms and Conditions ("Terms") govern your access to and use of the products, software, applications, cloud services, APIs, AI solutions, professional services, consulting services, and other digital offerings (collectively, the "Offer") provided by ASPB Services Pvt. Ltd. ("ASPB Services," "Company," "we," "our," or "us") through the Microsoft Azure Marketplace.

By purchasing, subscribing to, installing, accessing, or using the Offer, you ("Customer," "you," or "your") agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Offer, you acknowledge that you have read, understood, and agree to these Terms. If you are accepting these Terms on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Scope of the Offer

The Offer may include, but is not limited to:

Software-as-a-Service (SaaS)
Artificial Intelligence (AI) solutions
APIs and integrations
Cloud applications
Managed services
Professional and consulting services
Web and mobile applications
Data analytics and automation solutions
Other software and digital services
The specific functionality, features, and limitations of the Offer are described in the applicable Microsoft Azure Marketplace listing.

3. License and Permitted Use

Subject to these Terms and any applicable subscription or licensing requirements, ASPB Services Pvt. Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Offer solely for your internal business purposes.

You agree that you will not:

Copy, modify, distribute, sublicense, lease, rent, or sell the Offer except where expressly permitted.
Reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code, except where permitted by applicable law.
Use the Offer for any unlawful, fraudulent, or unauthorized purpose.
Interfere with or disrupt the security, integrity, or performance of the Offer.
Upload or transmit malicious code, viruses, or harmful software.
4. Customer Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials.
Ensuring that only authorized users access the Offer.
Maintaining backups of your own data.
Providing accurate and up-to-date information.
Complying with all applicable laws and regulations.

5. Fees and Payment 

Pricing, billing, subscriptions, renewals, and payment processing are managed through the Microsoft Azure Marketplace and are subject to Microsoft's applicable marketplace and billing policies.

Unless otherwise specified, all applicable taxes, duties, levies, and governmental charges are the responsibility of the Customer.

Custom or negotiated pricing and terms may be made available to eligible Customers through Microsoft Azure Marketplace private offers or a separate written agreement.

6. Intellectual Property

All intellectual property rights relating to the Offer, including software, documentation, trademarks, logos, source code, designs, graphics, and related materials, remain the exclusive property of ASPB Services Pvt. Ltd. or its licensors.

Nothing in these Terms grants the Customer any ownership rights in the Offer.

7. Privacy and Data Protection

ASPB Services Pvt. Ltd. is committed to protecting Customer information and will process personal data in accordance with applicable privacy and data protection laws.

Customers are responsible for ensuring that any data they submit through the Offer complies with all applicable legal and regulatory requirements.

8. Availability and Maintenance

We strive to provide reliable and secure services. However, the Offer may occasionally be unavailable due to:

Scheduled maintenance
Security updates
Infrastructure upgrades
Emergency maintenance
Third-party service interruptions
Events beyond our reasonable control
We do not guarantee uninterrupted or error-free operation of the Offer.

9. Updates and Modifications

ASPB Services Pvt. Ltd. may modify, improve, enhance, update, or discontinue any part of the Offer at any time to improve functionality, security, performance, or compliance.

For virtual machine (VM) image Offers deployed into the Customer's own Azure subscription, software updates are delivered as new versions of the image published on the Microsoft Azure Marketplace and are applied at the Customer's discretion. ASPB Services Pvt. Ltd. does not automatically modify, upgrade, or restart the software or database running on a Customer-deployed VM instance. The Customer is responsible for reviewing release notes and choosing when to migrate to an updated image version.

For hosted or Software-as-a-Service (SaaS) Offers, updates may be applied automatically to maintain functionality, security, and compliance.

10. Technical Support

Technical support, where included, will be provided as described in the applicable Microsoft Azure Marketplace listing or under a separate written agreement between the Customer and ASPB Services Pvt. Ltd.

Unless stated otherwise in the applicable listing, included support covers deployment, configuration, and break-fix maintenance of the Offer (for VM image Offers, of the published image), and is provided on a commercially reasonable, best-effort basis. Such support is a maintenance service and does not, by itself, constitute a warranty or a guaranteed response-time or uptime service level (SLA).

The following are not included in standard product support and are available only under a separate written agreement or a Microsoft Azure Marketplace private offer: workload-specific architecture, performance tuning, or database administration; custom development or integration; data migration or recovery services; on-call production support; and any committed response-time or uptime SLA. ASPB Services Pvt. Ltd. is pleased to provide such extended, managed, or long-term support — together with custom or negotiated pricing — through a private offer or separate agreement upon request.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Offer is provided on an "AS IS" and "AS AVAILABLE" basis.

ASPB Services Pvt. Ltd. expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Reliability
Availability
Security
Uninterrupted operation
12. Limitation of Liability

To the maximum extent permitted by applicable law, ASPB Services Pvt. Ltd. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

Loss of profits
Loss of revenue
Loss of business
Loss of goodwill
Loss of data
Business interruption
The total aggregate liability of ASPB Services Pvt. Ltd. arising from or relating to the Offer shall not exceed the amount paid by the Customer for the Offer during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

The Customer agrees to indemnify, defend, and hold harmless ASPB Services Pvt. Ltd., its directors, officers, employees, affiliates, licensors, and partners from and against any claims, damages, liabilities, losses, costs, and expenses arising from:

Misuse of the Offer.
Violation of these Terms.
Violation of applicable laws or regulations.
Infringement of any third-party rights.
14. Suspension and Termination

ASPB Services Pvt. Ltd. reserves the right to suspend or terminate access to the Offer, with or without notice, if:

The Customer breaches these Terms.
The Offer is used unlawfully or fraudulently.
Continued access could compromise the security or integrity of the Offer.
Upon termination, all rights granted under these Terms shall immediately cease.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Offer shall be subject to the exclusive jurisdiction of the competent courts located in Noida, Uttar Pradesh, India.

16. Changes to These Terms

ASPB Services Pvt. Ltd. reserves the right to update or modify these Terms at any time.

Updated Terms become effective upon publication in the Microsoft Azure Marketplace listing or on our official website unless otherwise required by applicable law.

Your continued use of the Offer after such updates constitutes acceptance of the revised Terms.
