1. Acceptance of Terms
By downloading, installing, or using this application (“the App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use the App.

2. License Requirement
Use of this App is strictly limited to active Carillon ERP license holders.
-You must have a valid and current Carillon ERP license issued by Carillon ERP.
-The App may verify your license status through your Carillon ERP credentials or through system integration before granting access.
-Unauthorized use or attempted access without a valid license is strictly prohibited and may result in suspension or termination of access.

3. License Grant
Subject to compliance with these Terms, the App is provided for use in conjunction with your licensed Carillon ERP system. No ownership or transfer of intellectual property rights is implied or granted.

4. Restrictions
You may not:
-Share, sublicense, or distribute the App to third parties;
-Reverse engineer, decompile, or modify any part of the App;
-Use the App in any way that violates applicable laws or the Carillon ERP End User License Agreement (EULA).

5. Data and Connectivity
The App may connect to your Carillon ERP environment to retrieve or update data. You are responsible for ensuring secure access and compliance with your organization’s IT policies. The developer assumes no responsibility for data loss or security breaches resulting from misconfiguration.

6. Updates and Support
Updates or bug fixes may be provided periodically. Continued use of the App after an update constitutes acceptance of the updated Terms. Support is available only to customers with an active Carillon ERP support agreement.

7. Termination
Your access to the App will terminate automatically if:
-Your Carillon ERP license expires or is revoked;
-You violate these Terms; or
-The developer discontinues the App.

8. Disclaimer of Warranties
The App is provided “as is,” without warranty of any kind, express or implied. The developer disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability
In no event shall the developer or Carillon ERP be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use or inability to use the App.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
