1. VAT and Other Taxes
Exclusivity: All sums presented in this offer are exclusive of VAT and any other duties or taxes.
Withholding Tax: Should the Customer's country's law require withholding any tax on payment, the payment amount to Comarch will be automatically increased. This ensures that the net amount actually remitted to Comarch, after all withholding taxes, equals the original invoiced amount.
2. Terms of Payment
Standard Term: The general payment date is 30 days from the date the invoice is issued.
Project Payments: Payments for particular work stages will be made based on formal acceptance protocols of those stages.
License Fee: The license fee will be paid based on an invoice issued after the signing of the final agreement.
Maintenance Services: Remuneration for Maintenance Services will be paid on a monthly basis, starting from the first month after the system's production launch.
3. Maintenance Agreement
The Maintenance Agreement will be signed for a fixed period of 5 years.
4. Proposal Validity
This preliminary proposal is valid for a period of 6 months from the date of its placement.
5. Travel and Subsistence Expenses
The Client will reimburse Comarch for all travel and subsistence expenses incurred for any additional work carried out on-site in the form of a Change Request, both during project implementation and/or Maintenance Services.
6. Liability and Contract
Total Liability: The total liability of all Parties under the execution of the subject matter hereof shall not exceed 50% of the total remuneration value received by Comarch under the final contract.
Final Agreement: The detailed scope, terms, and conditions of cooperation will be defined in a separate, appropriate contract signed by both Parties and drawn up based on the terms and conditions set forth herein.
