Software License Agreement¶
Effective Date: May 1, 2026
This Software License Agreement ("Agreement") is made between:
Licensor: DataArt Solutions Inc.
A US corporation
Address: 475 Park Avenue South, Floor 15, New York, NY 10016
("DataArt" or "Licensor")
Licensee: Any individual or organization using this software
("Licensee")
 
1. Grant of License¶
Licensor hereby grants Licensee a non-exclusive, transferable license to use the software product titled "DataArt Artisyn Azure Agentic Accelerator" solely for personal or internal business purposes.
2. Permitted Uses and Restrictions¶
Permitted:¶
•	Copy, modify, or distribute any part of the software as part of Licensee's commercial product
•	Use for internal business operations and development
•	Integration into Licensee's proprietary solutions
Restrictions:¶
•	Cannot sell or distribute any part of the software as a standalone framework or component
•	Cannot redistribute as an independent product without written authorization from Licensor
•	Must maintain all copyright and proprietary notices
3. Ownership and Intellectual Property¶
•	The software is licensed, not sold
•	Licensor retains all rights, title, and interest in and to the software
•	All intellectual property rights remain with DataArt Solutions Inc.
4. Updates and Support¶
•	Licensor is under no obligation to provide updates, enhancements, maintenance, or technical support
•	Any such services may be provided at the sole discretion of the Licensor
•	Support services, if provided, may be subject to separate agreements
5. Term and Termination¶
•	This license is effective until terminated
•	Automatic termination occurs if Licensee fails to comply with any part of this Agreement
•	Upon termination, Licensee must cease all use and destroy all copies of the software
6. Disclaimer of Warranty¶
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Limitation of Liability¶
LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
8. Entire Agreement¶
This License Agreement constitutes the entire understanding between the parties regarding licensing of the DataArt Artisyn Azure Agentic Accelerator. No subsequent agreement, unless expressly referencing this Agreement and executed by both parties, shall be deemed to alter or supersede any provision herein.

Professional services, customization, implementation, or integration related to the DataArt Artisyn Azure Agentic Accelerator are not included by default.
Any such services and associated deliverables, if required, are provided by DataArt pursuant to a separately executed Statement of Work (“SOW”) agreed between DataArt and the Customer.
