Licensing Terms for Liver CT AI Diagnostic Application
1. License Grant
Subject to the terms of this Agreement, Muen Biomedical and Optoelectronic Technologies Inc. (“Licensor”) grants the customer (“Licensee”) a non-exclusive, non-transferable, non-sublicensable, limited license to use the Liver CT AI Diagnostic Application (the “Software”) solely for internal use within their Microsoft Azure environment.

This license is valid only during the active subscription period and is limited to the number of instances subscribed through Azure Marketplace.

2. Usage Scope
Permitted Use: The Software is intended for assisting in liver CT scan analysis, including AI-based segmentation, annotation support, and risk scoring. It is to be used for internal clinical or research purposes only, and in compliance with relevant medical regulations in the Licensee’s jurisdiction.

Prohibited Use:

Reverse engineering, decompilation, or disassembly of the Software;

Commercial resale, redistribution, or offering Software-as-a-Service (SaaS) without written permission;

Use outside the subscribed Azure instance(s).

3. Data Privacy and Security
The Software operates fully within the Licensee’s Azure environment. It does not transmit or store patient data externally. The Licensee is solely responsible for data protection and compliance with local regulations, including but not limited to the Personal Data Protection Act (Taiwan), GDPR, or HIPAA, as applicable.

4. Intellectual Property
All rights, titles, and interests in and to the Software, including future updates and related documentation, are and shall remain the sole property of Muen Biomedical and Optoelectronic Technologies Inc. This Agreement does not transfer any ownership or intellectual property rights.

5. Support and Updates
During an active Azure Marketplace subscription, Licensee is entitled to:

All standard software updates and patches;

Email-based technical support through service@muenai.com.

6. Warranty Disclaimer
The Software is provided “as is” and without any express or implied warranties, including warranties of merchantability or fitness for a particular purpose. AI-generated outputs are advisory only and should not replace clinical decision-making.

7. Limitation of Liability
To the fullest extent permitted by law, Muen Biomedical and Optoelectronic Technologies Inc. shall not be liable for any indirect, incidental, special, or consequential damages—including, without limitation, diagnostic errors, patient harm, or data loss—arising from the use or inability to use the Software.

8. Termination
This Agreement is automatically terminated if:

The Licensee breaches any terms herein;

The Azure Marketplace subscription expires or is canceled.

Upon termination, the Licensee must immediately discontinue use and delete all instances of the Software.

9. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of Taiwan (Republic of China), without regard to its conflicts of law principles.
