1. Acceptance of Terms By accessing or using Workmate (the “App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must not use the App. Enterprise Computing Limited (“we,” “us,” or “our”) reserves the right to update or modify these Terms at any time without prior notice. Continued use of the App after any changes constitutes acceptance of the updated Terms. --- 2. Description of the Service Workmate is a cloud-based automation tool that enables organizations to perform complex Excel-related computations automatically. Users upload an Excel file, initiate processing, and receive a downloadable processed output. The App is offered as a monthly subscription service through the Azure Marketplace. --- 3. User Accounts and Access Users must sign in with a valid Microsoft account or other approved authentication method to access the App. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. We may suspend or terminate access if we reasonably believe there has been misuse, violation of these Terms, or unauthorized access attempts. --- 4. Subscription and Payment Access to Workmate requires a monthly subscription as set forth on the Azure Marketplace listing. Payments are processed through Microsoft’s billing system according to your selected plan. Subscriptions automatically renew unless canceled before the renewal date. Refunds are subject to Azure Marketplace policies. --- 5. User Responsibilities You are solely responsible for: · The accuracy, validity, and integrity of all files, data, and information you upload to the App. · Ensuring that uploaded files are properly formatted and free of malware. · Compliance with all applicable laws and organizational data policies. We are not liable for any errors, losses, or data corruption arising from user-provided input. --- 6. Prohibited Uses You agree not to: · Reverse-engineer, decompile, or otherwise attempt to derive the source code of the App. · Sell, sublicense, or commercially redistribute the App. · Use the App for unlawful, harmful, or abusive purposes. Violation of this section may result in immediate termination of access. --- 7. Service Availability and Performance Workmate relies on cloud infrastructure and the user’s internet connection. We make reasonable efforts to ensure uptime and performance, but availability may vary based on network conditions, user internet speed, and third-party service status. We are not responsible for downtime or delays caused by internet connectivity or external systems. --- 8. Support Enterprise Computing Limited provides 24/7 fanatical support for all active subscribers. Support requests may be submitted through the channels specified on the Azure Marketplace or our website. --- 9. Intellectual Property All intellectual property rights in the App, including software, documentation, and design, remain the property of Enterprise Computing Limited or its licensors. Users retain full ownership of their uploaded files and resulting output data, but may not copy, distribute, or redistribute the App or its underlying code. --- 10. Updates and Modifications We may update or modify Workmate periodically to improve functionality, performance, or security. We also reserve the right to modify these Terms at any time. Notice of significant changes may be provided through the App interface or marketplace listing. Continued use after updates signifies your acceptance of those changes. --- 11. Limitation of Liability To the fullest extent permitted by law: · We are not liable for indirect, incidental, special, or consequential damages arising from your use of the App. · Our total liability for any claim relating to these Terms or the App shall not exceed the amount you paid in subscription fees for the month in which the issue occurred. --- 12. Disclaimer of Warranties Workmate is provided “as is” and “as available.” We make no guarantees regarding uninterrupted service, error-free performance, or specific results. Users are responsible for verifying the accuracy of output before relying on it for business or operational decisions. --- 13. Termination We may suspend or terminate access to the App if you: · Breach any of these Terms; · Use the App in a manner that could harm our systems, other users, or violate applicable law. Upon termination, your right to use the App ceases immediately. You may download your data prior to termination, subject to data retention policies. --- 14. Governing Law These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Ghana. --- 15.
