THE LICENSE HOLDER AND FLUENTGRID DO HEREBY AGREE TO BE BOUND BY THE BELOW TERMS OF THIS EULA FOR INSTALLING, OR OTHERWISE USING THE PRODUCTS.
 
All the provisions in this agreement are intended to amplify, support, clarify and otherwise guide the smooth compliance of the licensing requirement of the above said Contract.
 
Grant of License: Fluentgrid Limited grants License Holder the following rights provided that License Holder complies with all terms and conditions of this EULA.
 
Installation and Use: License Holder can install and use the ‘product’/’products’ on the servers/ IT Infrastructure located on Cloud Service Provider. 
 
Activation: The license rights are activated automatically upon successful installation of the product. License Holder may also need to reactivate the Product if it modifies its server’s hardware or alter the Product.
 
Reservation of Rights: Fluentgrid reserves all rights not expressly granted to License holder in this EULA.
 
Sale or Transfer: So long as there is compliance with all terms of this License and Warranty, the license granted hereunder shall be perpetual. The license shall, however, in all events automatically terminate upon the sale or other transfer of the Product/ products by the License Holder to any other person by way of sale/ purchase of this License. The use of the Software by any purchaser or other transferee from Licensee will be conditioned upon the grant of a new license in respect thereof by Licensor. 
 
Production: This License includes Stage, production and Disaster Recovery Centre environments.
 
Additional Software/Services:  This EULA applies to updates, supplements, add-on components, or Internet-based services components, of the Product that Fluentgrid shall provide to License holder or make available to License holder after the date the License holder obtains an initial copy of the Product.
 
Transfer - Internal:  License holder may set up the Product to a different server within the premises of the Disaster Recovery Centre of License holder for disaster management. 
 
No Rental: License holder shall not rent, lease, lend or provide commercial hosting services to third parties with the Product.
 
Limitation on Reverse Engineering, Decompiling and Disassembling: License holder may not reverse engineer, decompile, or disassemble the Product, except and only to the extent that it is expressly permitted by applicable law notwithstanding this limitation.
 
Termination: Without prejudice to any other rights, Fluentgrid may cancel this EULA if License holder do not abide by the terms and conditions of this EULA, in which case License holder must destroy all copies of the Baseline Product and all of its component parts. This shall not apply to customized product, provided all the dues corresponding to the customized product are paid.
