- The minimum contract term is 1 year & can be renewed for additional years if applicable as per the prices included in the Bill of Materials.
- The Renewal prices are subject to change based on consumption/ change in sizing. Help AG will communicate the changes if any.
- The onboarding timeline is estimated within 6-8 weeks & will be confirmed during the Contract Finalization/ Kick off stage.
- In case of any contract suspension/ termination, Help AG shall need a notice of 90 days prior to the end of the current running year. In case of any early termination, Help AG shall continue to raise invoices & customer shall still be liable for payment of any products or licenses delivered for entire contract term & Help AG services delivered until the effective date of termination.
- Non Solicitation: Neither party shall during the term of the delivery of the scope of this proposal  and for a period of twelve (12) months from the completion of the project scope , either on their own account or in partnership or association with any person, firm, company or organization or otherwise, directly or indirectly solicit or entice away or attempt to entice away or authorise the taking of such action by any other person, any employee or person who has worked on the services provided under this proposal without prior written consent from the other party
- Any SLAs shall be applicable only as mentioned in this proposal & any service credits will be mutually agreed during the contract finalization. All service credits will be capped to a maximum of 10% of the impacted service value only.
