HEYDEO AI - TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
By subscribing to Heydeo AI through Microsoft Azure Marketplace, you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. SERVICE DESCRIPTION
Heydeo AI is a SaaS platform providing AI-powered cross-border trade automation services including document generation, market intelligence, logistics management, and trade finance facilitation.

3. SUBSCRIPTION AND BILLING
3.1. Subscription fees are billed through Microsoft Azure Marketplace according to your selected plan.
3.2. Fees are non-refundable except as required by applicable law or as specified in Microsoft's refund policies.
3.3. Usage-based charges (if applicable) are calculated and billed monthly in arrears.

4. DATA PRIVACY AND SECURITY
4.1. Customer data is processed in accordance with our Privacy Policy available at https://heydeo.ai/privacy.
4.2. We implement industry-standard security measures including encryption, access controls, and regular security audits.
4.3. Customer retains all ownership rights to their data.

5. ACCEPTABLE USE
Customer agrees not to:
- Use the service for any unlawful purpose
- Attempt to gain unauthorized access to any systems
- Interfere with the service's operation
- Violate any applicable export control or trade compliance laws

6. INTELLECTUAL PROPERTY
6.1. Binaries Fort retains all rights to the Heydeo AI platform and technology.
6.2. Customer retains all rights to their data and content.
6.3. AI-generated documents are provided for Customer's use in their trade operations.

7. SERVICE LEVEL AGREEMENT
7.1. We target 99.9% uptime availability.
7.2. Scheduled maintenance will be communicated in advance.
7.3. Support response times vary by subscription tier (4-48 hours).

8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINARIES FORT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. TERMINATION
9.1. Either party may terminate with 30 days written notice.
9.2. Upon termination, Customer may export their data within 30 days.
9.3. Microsoft Marketplace cancellation policies also apply.

10. GOVERNING LAW
These Terms shall be governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

11. CHANGES TO TERMS
We may update these Terms with 30 days notice. Continued use after changes constitutes acceptance.
