Kaasai Services Limited –Microsoft Marketplace Publisher Terms Effective Date: 30 June 2025 Version: 1.0 Applicable Marketplace Listing: Kaasai - Data management for AI driven asset intelligence These Publisher Terms (the "Agreement") apply to any use of the Kaasai Services Limited ("Kaasai", "we", "our") software-as-a-service (SaaS) offering made available to you ("Customer", "you") through the Microsoft Commercial Marketplace (Azure Marketplace or Microsoft AppSource), and are subject to the Microsoft Standard Contract and applicable Marketplace terms. By subscribing to the Kaasai SaaS product through the Microsoft Commercial Marketplace, you agree to be bound by these Publisher Terms and the Microsoft Standard Contract. These terms supplement, and do not replace, the Microsoft Standard Contract, which governs the overall relationship between you and Microsoft. Where conflicts arise, Microsoft’s terms prevail to the extent required. 1. Services Description Kaasai is an AI-native energy asset orchestration platform that enables customers to optimise, control, and analyse energy usage across distributed infrastructure and fleets. The solution leverages real-time data ingestion, intelligent asset orchestration, and machine learning-driven predictive energy optimisation through four core modules: TCO Module – Track and forecast asset costs and performance. Kaasai analyses real-time telematic data and energy prices to reduce operational costs and improve efficiency The system continuously tracks fuel and electricity usage, providing insights into efficiency and sustainability through carbon offset measurement Kaasai forecasts costs and alerts businesses to savings opportunities, enhancing decision-making capabilities The system predicts electricity needs for EV fleets and recommends optimal charging times to save costs Compare Module – Benchmark and analyse assets for strategic decision-making. Kaasai enables side-by-side comparison of cost performance for individual vehicles and assets against others within an organisation’s asset group With integrations to market data organisations can compare cost performance of any vehicle or asset that they own against others in the market to enable better informed procurement decisions Monitor relative performance across your assets The system enables organisations to compare a department’s cost and sustainability performance with at the aggregated level Orchestration Module – Centrally manage energy flows and automate energy efficiency schedules. Add any energy generation, storage, and consumption assets to the Kaasai platform Organisations can control the energy flow between assets easily as determined by operational needs, energy pricing, and generation productivity Utilise unused energy to offset consumption cost by directing this toward energy intensive assets and the grid for revenue returns Kaasai enables organisations to forecast where and when to use energy for the most optimal utilisation of energy through advanced AI technology and smart algorithms Charge Module – Optimise EV and energy asset charging/discharging remotely. Remote monitoring and control of chargers Smart charge scheduling to enable fleet operators to maximise savings by charging vehicles during off-peak hours when electricity is cheapest Vehicle-to-Grid technology enables EVs to discharge energy back to the grid during peak demand, optimising energy use and generating income for owners Schedule optimisation to meet operational needs Forecast and regulate the timing of EV charging to ensure it occurs when electricity prices are favourable 2. Marketplace Usage Terms 2.1 Subscription and Billing Customer subscriptions are managed and billed directly by Microsoft under its Marketplace purchasing process. Any payment disputes must be handled via Microsoft’s billing support. Note: Kaasai has no access to or control over your billing records with Microsoft. All billing inquiries must be directed to Microsoft support. 2.2 License and Access Upon Microsoft’s confirmation of a valid subscription, Kaasai grants you a non-exclusive, non-transferable, revocable, limited right to access and use the Services, strictly in accordance with: The service scope described in the Marketplace listing and any associated documentation The number of licensed assets, users, or data volumes as specified in your subscription plan Any access beyond the subscribed scope (e.g., user volume or data throughput) may be subject to additional fees or restricted functionality. 3. Customer Responsibilities Maintain an active and valid Microsoft Azure or AppSource subscription. Authorise and manage integration of third-party systems (e.g., telematics, IoT platforms, ERP systems). Ensure data entered into or accessed via Kaasai complies with applicable laws and third-party agreements. Use the Services in accordance with all applicable regulations, export laws, and the Microsoft Acceptable Use Policy. Ensure that any personal data entered into Kaasai is processed in accordance with applicable data protection laws, including obtaining any required consents or notices. Maintain accurate contact and system configuration information to support delivery of the Services. 4. Data Collection and Use Kaasai collects and processes various operational, telematics, and energy-related data types which may include, depending on configuration: Telematics and IoT sensor data Energy usage, generation, and storage metrics Energy pricing and revenue analytics Operational schedules and fleet logistics Vehicle and driver data (if applicable) Charging/discharging control signals Kaasai accesses this data via Customer-authorised integrations with third-party systems. Customer represents that it has lawful authority to grant access to such systems and data. Kaasai does not access Customer data without appropriate authorisation, and data transmission is encrypted in accordance with Section 6. 5. Data Rights and Privacy Data Ownership: Customer retains ownership of all data ingested via the Kaasai platform. Kaasai claims no ownership over Customer data. Processing: Kaasai processes data in accordance with applicable data protection laws, including GDPR where applicable. Kaasai acts as a data processor, with the Customer as the data controller, where applicable under the GDPR and similar frameworks. Anonymisation: Kaasai may use de-identified, aggregated data to improve platform performance, develop AI models, or generate insights that do not identify the Customer. Such anonymisation is irreversible, and Kaasai takes steps to ensure that individuals cannot be re-identified. For full details, refer to Kaasai Privacy Policy 6. Security Kaasai maintains industry-standard security controls including data encryption, secure integration methods (e.g., OAuth, API keys), audit logging, and access control protocols. We are committed to alignment with Microsoft’s cloud security and compliance frameworks. Kaasai follows Microsoft Azure security best practices, including ISO/IEC 27001 alignment where applicable. 7. Support and Service Levels Support terms are outlined in the applicable support documentation on the Marketplace listing or Order Form. Kaasai provides standard support via email and portal, with optional premium SLAs available. Premium support packages including 24/7 response and accelerated SLAs may be available on a custom basis. Warranties and Disclaimers Kaasai warrants that the Services will operate in all material respects as described in the documentation during the subscription period. EXCEPT AS SET OUT ABOVE, THE SERVICES ARE PROVIDED “AS IS.” KAASAI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Microsoft makes no representations or warranties regarding the Publisher's services. The Customer acknowledges that no software is error-free and agrees to implement reasonable backups and controls when using the Services. 9. Indemnification Customer agrees to indemnify, defend, and hold harmless Kaasai from claims resulting from: Unauthorised use of the Services Breach of applicable data protection or third-party integration laws Infringement resulting from Customer’s data inputs or use of third-party systems This indemnity shall survive termination of the Agreement. 10. Limitation of Liability To the fullest extent permitted by law: Kaasai’s total liability is limited to the subscription fees paid to Microsoft for the 12-month period immediately preceding the claim. Kaasai shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits or data). Nothing in this clause limits either party’s liability for fraud, gross negligence, or willful misconduct. 11. Termination and Suspension Kaasai may suspend or terminate access: For any material breach of these Publisher Terms Upon expiry or cancellation of the Microsoft Marketplace subscription If required to comply with applicable laws or third-party requests Data will be retained or deleted in accordance with our internal retention policy and applicable legal obligations. Kaasai will provide reasonable advance notice (where legally permissible) prior to suspension for breach, and may offer an opportunity to cure the breach. 12. Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the courts of London, UK, unless otherwise required under Microsoft’s Standard Contract terms. 13. Changes to Terms We may update these Publisher Terms from time to time. The most current version will always be available via the Kaasai listing in the Microsoft Commercial Marketplace.
