The following sentence is added to the end of Section 1(a) of the Agreement: “As part of the Offering, Customer may opt to include the Kollective Agent (a proprietary application provided by Publisher that may enhance functionality of the Offering), in which case Customer may install the Kollective Agent on End Users’ machines subject to usage parameters set forth in the applicable Order.”
Section X(b) of the Agreement is deleted in its entirety.
Section XI(j)(1) of the Agreement is deleted in its entirety and replaced with the following: “This Agreement is governed by Washington state law (disregarding conflict of laws principles) and the parties consent to exclusive jurisdiction and venue in the state and federal courts in King County, Washington, USA. Neither party will claim lack of personal jurisdiction or forum non conveniens in these courts.”
