Terms & Conditions
- Azure Arc Implementation Partner: MSRCOSMOS LLC will act as the Azure Arc implementation partner and provide managed services for Azure Arc integration and management.
- Exclusion of DB & App Support: MSRCOSMOS LLC is not responsible for database (DB) or application (APP) level support.
- No Physical Asset Requirement: MSRCOSMOS LLC does not require the provision of any physical assets (e.g., servers or hardware) from the client.
- Licensing Responsibility: The client is responsible for obtaining and managing any required Windows and SQL licenses for Azure Arc-enabled resources.
- Service Availability: MSRCOSMOS LLC guarantees service availability as per the agreed Service Level Agreement (SLA), including response times and resolution timelines.
- Security & Compliance: MSRCOSMOS LLC will configure services to adhere to best security practices and applicable regulatory standards (e.g., GDPR, HIPAA).
- Data Ownership & Privacy: The client retains ownership of all data processed or stored in Azure Arc-enabled resources. Data will be handled according to Microsoft’s privacy policies.
- Service Updates: MSRCOSMOS LLC may update or modify services, with prior notice to the client for any significant changes.
- Termination: Either party can terminate the agreement with notice. Client data will be provided for export or migration upon termination.
- Client Responsibilities: The client must ensure their Azure environment is prepared for Azure Arc integration and maintain their Azure subscription and associated costs.
- Support & Escalation: MSRCOSMOS LLC will provide 24/7 support for critical issues and standard business hours support for non-urgent issues, with defined escalation procedures.
- Indemnification: Both parties agree to indemnify each other from claims, losses, or damages arising from negligence or failure to comply with applicable laws.
- Use of Client Name & Logo: MSRCOSMOS LLC can use the client’s name and logo for promotional purposes, subject to client approval.
- Force Majeure: Neither party will be held liable for delays caused by unforeseeable circumstances (e.g., natural disasters, internet outages).
- Dispute Resolution: Disputes will be resolved through negotiation or mediation, with legal action taken according to the jurisdiction's laws if necessary.
