NAVBI Business Intelligence Solution - Terms of Use **This Terms of Use Agreement ("Agreement") is a legal contract between the end-user ("Licensee") and NAVBI, a product by Naviworld Australia Pty Ltd (Naviworld). By installing, copying, downloading, or using NAVBI Business Intelligence Solution (hereinafter referred to as "Software"), Licensee agrees to be bound by the terms of this Agreement. If Licensee does not agree with the terms of this Agreement, do not proceed with the installation, copy, download, or use of the Software. Supported Editions This app supports the Essentials and Premium Editions of Dynamics 365 Business Central 1. GRANT OF LICENSE NAVBI grants Licensee a non-exclusive, non-transferable license to use the Software on a subscription basis. The Software may be installed and used on a single computer at a time. If the Software was purchased as a Multi-user Single Site License, additional copies may be made and used on as many computers as required at the Authorized Site, as specified at the time of License Registration. This License does not extend to use in any location other than the specified Authorized Site. 2. UPGRADES Licensee may use upgraded versions of the Software in accordance with this License. If the Software is an upgrade from a previous version, it may only be used and transferred as part of that software package according to the License Agreement provided with the original package. 3. PROPRIETARY RIGHTS & CONFIDENTIALITY All ownership rights in the Software and Documentation are retained by NAVBI, and they are protected by applicable copyright, patent, trademark, or trade secret laws. Licensee agrees to protect NAVBI's ownership rights by displaying copyright, trademark, trade secret, and other proprietary notices on copies of the Software and Documentation. Licensee must keep the Software confidential and not disclose or publish it to others. 4. END-USER AGREEMENT Licensee must carefully read and accept the End-User Agreement provided with the Software. The End-User Agreement outlines specific terms and conditions related to the use of the Software and must be adhered to by Licensee. 5. ENHANCEMENT PLAN For end-users using the Software on a subscription basis, the Enhancement plan is included in the subscription. It includes product updates, bug fixes, and documentation updates. Licensee must adhere to the Enhancement plan terms to access these benefits. Details of the Enhancement plan can be found in the End-User Agreement. 6. WARRANTIES AND LIMITATIONS OF LIABILITY The Software is provided "as is." NAVBI and its suppliers do not warrant the performance or results Licensee may obtain by using the Software. Licensee acknowledges that NAVBI's warranty is limited, and Licensee's exclusive remedies, as well as limitations of liability, are outlined in the End-User Agreement. 7. TERMINATION NAVBI reserves the right to terminate this Agreement if Licensee breaches the terms of the Agreement. Upon termination, Licensee must destroy or return all copies of the Software and Documentation in Licensee's possession. 8. GENERAL TERMS AND CONDITIONS • Severability: Any invalid provision in this Agreement shall be read narrowly to permit enforceability, and the remaining provisions shall remain in full force and effect. • Governing Law; Jurisdiction: This Agreement is governed by the laws of [Your Jurisdiction], and parties consent to jurisdiction and venue as determined by NAVBI. • Entire Agreement: This Agreement is the entire understanding of the parties and supersedes previous agreements. • No Waiver: Failure or delay to exercise any right does not operate as a waiver. • Export Laws: Licensee shall comply with export laws and regulations pertaining to the Software.
