These Terms and Conditions (“Terms”) apply to all managed service offerings and engagements (“Services”) provided by Reliance Infosystems Limited (“Provider”) through the Microsoft Azure Marketplace. Each subscribed offering is further defined in its Applicable Service Description (“Service Description”), which details the scope, deliverables, and duration specific to that offering. By subscribing to a Service, the customer organization (“Customer”) agrees to be bound by these Terms together with the corresponding Service Description. ________________________________________ 1. Scope of Services • The Services are described in the Applicable Service Description for each offering. • The Service Description sets out: deliverables, timelines, customer responsibilities, and any service-specific exclusions. • In case of conflict, these Terms govern, unless the Service Description expressly overrides a clause. 2. Customer Responsibilities The Customer agrees to: • Provide timely access to systems, personnel, and environments required for delivery. • Ensure compliance with Microsoft Azure licensing and use policies. • Actively collaborate with the Provider to enable delivery of the Services. • Safeguard account credentials and access rights where applicable. 3. Fees and Payment • Fees for each Service are as published in the Azure Marketplace listing at the time of subscription or as otherwise agreed in writing. • Unless otherwise stated, fees are exclusive of all applicable taxes. The Customer is responsible for VAT, GST, or similar charges. • All payments are processed via Microsoft’s Marketplace billing system, and Marketplace billing terms apply. 4. Term and Duration • Services commence on the subscription start date via the Azure Marketplace. • The duration of each Service is defined in the Applicable Service Description. • Unless otherwise stated, Services may auto-renew month-to-month until terminated. 5. Termination • Either party may terminate a Service with thirty (30) days’ written notice. • Provider may suspend or terminate Services immediately if: o Fees remain unpaid; o The Customer breaches these Terms or applicable law; o The Service is misused in a way that poses a risk to Provider or Microsoft Azure systems. • Upon termination, the Customer’s entitlement to Services ends, but Sections 6–9 shall survive. 6. Confidentiality • Both parties shall treat all non-public information received from the other as confidential. • Confidential information may only be used for delivering or receiving the Services. • Disclosure is permitted only where required by law. 7. Data Protection • Customer retains ownership of all data. • Provider processes Customer Data only to the extent necessary to deliver the Services, in compliance with applicable data protection laws. • Provider implements reasonable safeguards to protect Customer Data. 8. Liability • To the maximum extent permitted by law, Provider’s total liability under these Terms shall not exceed the total fees paid by Customer for the applicable Service in the preceding twelve (12) months. • Provider is not liable for indirect, incidental, or consequential damages, including loss of profit, revenue, or business interruption. 9. Governing Law and Jurisdiction • These Terms and the Applicable Service Description are governed by the laws of Nigeria • The courts of Nigeria shall have exclusive jurisdiction over disputes. 10. Miscellaneous • Force Majeure: Neither party is liable for delays caused by events outside their reasonable control. • Assignment: Customer may not assign rights or obligations without Provider’s written consent. • Entire Agreement: These Terms, together with the Applicable Service Description, constitute the full agreement for the Service. • Amendments: Provider may update these Terms from time to time. The latest version will be made available via the Azure Marketplace listing. ________________________________________ Service Descriptions 360° CloudArc Insight Overview: Azure Well-Architected Framework assessment. Scope: • Evaluation against Microsoft’s 5 pillars (Cost, Performance, Reliability, Security, Operations). • Gap and risk identification. • Prioritized recommendations. Deliverables: • Well-Architected assessment report. • Recommendations roadmap. • Executive briefing. Duration: 3–4 weeks. Exclusions: Remediation of identified issues.
