DEFINITIONS
1.1 MyDataIQ refers to the Azure-based knowledge management system provided by Rhipheus.

1.2 Services refers to the access and use of MyDataIQ, which will include a one-time fee and ongoing monthly costs based on data volume.

1.3 Licensee Data refers to all data provided by the Licensee and processed through MyDataIQ.

LICENSE
2.1 Subject to the terms and conditions of this Agreement, Rhipheus hereby grants to the Licensee a non-exclusive, non-transferable, revocable license to use MyDataIQ.

2.2 The Licensee will not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure of MyDataIQ.

PAYMENT
3.1 The Licensee will pay a one-time fee of $10,000 for implementation, with ongoing running costs of $200 to $3,000 per month based on data volume.

OWNERSHIP AND CONFIDENTIALITY
4.1 Rhipheus retains all rights, titles, and interest in MyDataIQ, including all intellectual property rights.

4.2 The Licensee shall keep confidential any non-public information regarding MyDataIQ and the Services.

DATA PROTECTION
5.1 The Licensee retains all rights, titles, and interests in Licensee Data. Rhipheus will use Licensee Data solely for the purpose of providing the Services.

5.2 Rhipheus will implement reasonable safeguards to protect the security, confidentiality, and integrity of Licensee Data, including role-based access controls.

TERMINATION
6.1 This Agreement will continue until terminated by either party with 30 days' written notice.
