Terms and Conditions

· Our quotes are valid for 30 days, and our prices exclude all taxes.
· Our quotes for the standard package.
· Payment terms are as follows unless otherwise agreed between by the parties.
· OPEX license will be collected against the invoice for the relevant period after product acceptance.
· Whichever of the following two options is completed first for the license usage/product acceptance start date, the license start/product acceptance date will be determined as explained in that option.
¨ Whenever the UAT approval is completed, license usage starts on the same day. After the delivery of the system is completed by Sestek, the customer must complete the UAT process within one month. If the customer does not complete UAT within one month, it will be assumed as “completed,” and license/product usage will start automatically.
¨ In any way, the first date of the go-live, whether the go-live is partial or complete, and whether it is for internal and external customers does not affect the situation.
· Sestek has the right to stop license usage for customers who do not complete all license payments.
· 50% of the project cost will be collected upon signing the contract. The remaining 50% will be collected against the invoice after the system's user acceptance tests (UAT-User Acceptance Test) are completed.
· Any additional efforts not indicated in the Scope of Work document (SOW) (such as change requests) or not shown as maintenance or not mentioned in the contract are to be invoiced and paid on a person-day basis. The person-day fee is $750 US Dollar. The customer will cover travel and accommodation costs for the on-site support.
· For projects that require language model training, the cost of remote transcription (at the Sestek office) and training for 100 hours (or 30,000 voice commands) is billed as ten person*days.
· Annual license usage invoices will be automatically issued in advance on the same date every year unless the customer indicates otherwise 30 days in advance.
· Even if the product maintenance package includes version upgrades, professional services that will occur during these upgrades will be charged on a person-day basis.
· Sestek undertakes to provide maintenance and support services for newer versions of its product for five years starting from its release date. After the expiry of this period, SESTEK, at its sole discretion, will decide to continue the maintenance and support service for that version.
· The customer must grant remote access to Sestek personnel for maintenance-support services. Otherwise, on-site support services will be invoiced.
· Tools and third-party integrations required for remote access studies will be provided to the customer.
· All previous offers, confirmations, letters of intent, including but not limited to a memorandum of understanding, and agreements between the parties that are signed before the signature date of this agreement concerning the subject matter hereof, are at this moment automatically canceled or annulled.
· The above prices do not include the servers, operating systems, databases on which Sestek software will run, and other software requirements other than Sestek.
· License Commitments:
§ The use of MRCP SR and TTS licenses may differ depending on the telephony infrastructure of the customer (such as Avaya). Purchasing licenses as many as the number of IVR ports is recommended. However, the usage of rights may vary depending on the telephony infrastructure, customer infrastructure, and scenario.
§ Test, UAT, and Pre prod licenses are free of charge, provided that they do not exceed 5% of the license amount sold for each environment. A 50% discount on the license sale price will be provided if more permissions are requested for these three environments.
§ For reporting purposes, Sestek might provide additional temporary licenses that exceed the number of purchased licenses for three months since the project’s launch. After this period, if additional licenses are not needed or purchased, the current number of purchased licenses (until the end of the term in term licenses) will be defined permanently.
