Syscon Cronus – ERP for SME, Terms and conditions – Annexure to Contract form & Service Level Agreement (SLA) As per this End users License Agreement (EULA), the end users have the right to use the application and do not have the ownership of the Software Solution. The license is not transferable. The source code of the software will not be shared with the clients. The Intellectual Properties of the application belongs to Syscon Solutions Private Limited, having its registered office at # 3 A & B, 3rd Floor, (above Central Bank of India) ,Electronic Complex, Kushaiguda, ECIL, Hyderabad - 500 062, India. General Terms: The license for the selected modules current version will be provided through on-line download. The license is not transferable. Any payment made towards the license cost / Other services will not be and need not be returned under any circumstances. Source code being proprietary of Syscon Solutions Pvt Limited. Hence it will not be shared with third parties under any circumstances. Implementation is a very essential part of an ERP project. Syscon has a standard implementation process. It is mandatory for the client team to stay committed to the Implementation schedule of Syscon. This is to ensure quick return on investment as well as to reap other benefits out of this project for the client organization. It is essential for the users to have an understanding of their domain related process and basic knowledge in the computer. In the absence of the same our training charges will stand revised. Any Data Correction or Re-porting of Masters or the Opening balances due to wrong entry made by users or re-porting of balances again in a new financial year will be charged extra (Data Correction Rs.500/Correction). The first three Data corrections for every month will be free, and these three free corrections cannot be carried to the next month. As a part of the user manual there will not be a hard copy provided. There is online help (F1) on the ERP solution and the Business scenario will be available as a soft copy will be provided at the desktop of the users. As the software is constantly getting upgraded this process is being followed. New feature enhancements training will be provided for already trained users without any additional cost .The training will be done only once. Any repeat training for new users and new location will be at an additional cost. Each session consists of 4 hours or half a day (session timings 9:30 am to 1:00 pm or 2:00 pm to 5:30 pm). Syscon will not take any liability for any reason which includes data loss or data corruption. The support call will be provided only to the trained users. If an untrained user needs to be provided remote support then the same will be charged per session. Data porting for the additional Company or Division will be charged extra. Syscon has a Customer Support application linked to the website. The client will be provided with a username and password to login the issues and requirements. Help desk support from Syscon for Syscon Cronus ERP software application will be available for 5 days a week from 9.30 AM to 5.30 PM (Except Saturday, Sunday, public holidays and declared holidays of Syscon). Syscon’s trained manpower if required by the client will be given at an additional cost. Bugs reported will be solved within 16 working hrs / 2 days. The scope of contract does not cover the Client side System / Internet / Network / Printers No Client specific customization will be taken up. The client needs to use the standard features and reports available in Syscon Cronus. However generic requirements will be evaluated and brought out as a version as part of enhancements to the product. Any feature enhancement will be as per the discretion of Syscon Solution. In the event of client switchover to any other application or for backup purpose then, the client can provide windows desktop or one server (Windows 2016 with MS SQL Server 2014/2019) in which Syscon Cronus will be installed along with last database backup with access to reports and not for any input data entry at additional one-time cost of Rs.50,000/-. The maintenance of the server will be the responsibility of the client. There will be an additional cost for the same. As a moral and contract binding issue, clients of Syscon Solutions Pvt Ltd will not give employment to any of its employees working with them during or after the contract period. The application will automatically get disconnected if the payment is not received on or before the due date. This agreement may be a signed document or an on-line Version accepted by the admin user of the client. Tax and duties as applicable. It is essential for the users to have an understanding of their domain related process and basic knowledge in the computer. In the absence of the same our training charges will stand revised for non-domain user. The terms mentioned in this agreement are subject to change from time to time. This agreement will supersede or nullify any other terms mentioned by the client either in the Purchase order or in any other form of contract. Any dispute will be within the jurisdiction of Hyderabad. Such disputes will be settled only in the courts of Hyderabad, Telangana (formerly Andhra Pradesh), India Cloud specific Terms : The Backup of the database will be the responsibility of the Syscon. Maintenance of the Server, OS, Database, Antivirus firewall will be the responsibility of the Syscon. Rental / Hosting & Registration charges of the license cost to be paid in advance. The payment made will not be and need not be returned under any circumstances. The shared server co-located at Tire-2 data center in which the client database will be created. However Syscon will be a single point of contact for all the support requirements. The data will be kept confidential and the server has strict active directory policies defined to ensure the secured access for the users. Server, ERP software, O/S, Database and Server side Internet bandwidth and data backup will be done by Syscon / Tire-2 data center Syscon will provide the installation report signed by Syscon. The availability and uptime of the Server assured is 99.7%. At the time of Implementation phase a test database will be provided for the users to do practice. This will be available for a period of 2 months. Later the creation of Additional databases will be charged extra. Any reduction in the number of licenses to be informed 15 days before the billing period. In case of termination, the client has to intimate the same 3 months in advance. In the event of the client wishing to shift from the Hosted Model to the On Premise / ownership model, they may have to pay out the product cost, License and AMC prevailing at that point of time and will be governed by On Premise / ownership agreement. AMC conditions would be applicable On-Premise specific Terms : The Hardware/Software specifications will be provided by Syscon based on the number of users requirements. Syscon will provide the installation report. The Backup of the database will be the responsibility of the Client. Hence any data loss due to any reason will not be the responsibility of Syscon. Maintenance of the Server, OS, Database, Antivirus firewall will be the responsibility of the Client. AMC will be in effect after 12 months of contract. AMC charges will be calculated on the licenses used as on the AMC start date. AMC will cover only Bug fix and regular enhancements. The AMC has to be paid full in Advance. Since AMC is mandatory, in case of non-receipt of AMC amount, the rights to the application access will be restricted and regular support will be discontinued. Client to assign a static IP address to the server. All locations other than the corporate office will logon through Remote Desktop Connection. For the purpose of Support Syscon will also logon through RDP. The client has to upgrade to the version of the software from time to time. Any version enhancement or Bug fix will be provided only when the client is in the latest version of the software. Active Directory and other server policies of Microsoft Server 2016 have to be implemented by the System Admin of the Client. RDP cals for all users (all the users will long on to the server through remote desktop connection RDP) Internet bandwidth: For Server: Min. 20 MBPS for server Users from other locations: Min. 4 MBPS It also recommended having a backup Internet connection for the server. Also a Broadband data card in every location, in case of the net going down to manage the emergency entries like Invoice, GRN etc., Note : Static IP address for the server is required for the remote access for support.
