KEY TERMS SUMMARY:

1. LICENSE: Limited, non-exclusive, non-transferable license to deploy the Software within your Azure tenant as a Managed Application.

2. AI AGENT DISCLAIMER: TruOptim has NO control over AI Agent outputs (Claude, ChatGPT, Copilot). You are solely responsible for evaluating, verifying, and deciding whether to act upon AI Agent recommendations. TRUOPTIM SHALL HAVE NO LIABILITY FOR ANY ACTIONS TAKEN BY AI AGENTS.

3. INDUSTRIAL CONTROL SYSTEMS: The Software interfaces with OPC UA servers and Industrial Control Systems. ALL WRITE OPERATIONS ARE PERFORMED AT YOUR SOLE RISK. The Software is NOT certified as a safety system.

4. HUMAN OVERSIGHT: You shall implement appropriate human oversight for all AI Agent interactions with industrial systems and maintain manual override capabilities.

5. BILLING: Entitlement based billing for Connected Data Signals and AI Tool Credits via Azure Marketplace. Trial auto-converts to paid subscription unless cancelled.

6. LIABILITY CAP: TruOptim's maximum liability is limited to fees paid in the 12 months preceding any claim, or £1,000, whichever is greater.

7. GOVERNING LAW: England and Wales.
