Terms and Conditions for Storyboard HR & Payroll Effective Date: 18-07-2025 Developer: Vcidex Solutions Pvt Ltd Product Name: Storyboard HR Brand: StoryboardSystems Applicable Domains: Human Resources Management, Payroll Automation, Workforce Administration 1. Collection of General Provisions These Terms and Conditions or "Agreement" govern the access and use of Storyboard HR & Payroll. Storyboard HR & Payroll is a human resource and payroll management package developed by Vcidex Solutions Pvt Ltd. The Agreement provides a legal binding contract between the Client and Vcidex. A Client, by subscribing, installing, or using the software, acknowledges and agrees to all of the clauses mentioned herein. Should you disagree with these terms, then you may not use the software or any services accompanying it. 2. Software Purpose and Functionality Storyboard HR & Payroll is an integrated platform that assists organizations with complete employee lifecycle management, from employee onboarding to exit, along with statutory and non-statutory payroll processes. Key functionalities may include, but are not limited to: HR Core Modules: Employee records, job titles, departments, reporting structures Attendance & Shift Management: Biometric/API integrations, shift planning, late/early tracking Leave & Holiday Management: Custom leave types, rules, approval workflows Payroll Engine: Salary structure mapping, components, computation, payslip generation, etc. Compliance Automation: Provident Fund (PF), Employee State Insurance (ESI), Professional Tax (PT), Income Tax (TDS), and similar. Asset & Custodian Tracking, Appraisal Management, Exit & Relieving Processing The software is provided by Vcidex as cloud-hosted (SaaS) and on-premise variations, as defined in your service agreement. 3. Licenses and Access Rights After execution of a valid commercial agreement, Vcidex grants to the Client a nonexclusive, nontransferable, revocable right to use the software for purposes of managing its internal human resource and payroll operations. The Client shall not: 1. Share or resell or sub-license the Software to third parties 2. Manipulate or change the architecture of the core application 3. Use the system in a manner that contravenes labor Laws and wage codes or employee rights in any jurisdiction 4. Upload any content that is offensive, discriminatory, or unlawful as per employment laws of any jurisdiction 4. Data Rights and Employee Privacy 4.1. Ownership All the employee and organization data uploaded into the system shall remain the sole property of the Client. 4.2 Processing Operation Vcidex shall only act as a data processor and shall use such data only for purposes pertaining to the system's functioning, maintenance, and support unless otherwise agreed upon. 4.3 Confidentiality All data processed in the system, including but not limited to salary information, appraisal records, personal employee information, and compliance documentation, is admitted as confidential. Vcidex agrees to keep this information in confidence and to restrict access to only authorized personnel. 4.4 Statutory Compliance The client shall ensure compliance with local labor, tax, and payroll legislation. The software provides computational support, but such information shall not be considered legal or financial advice. Vcidex hereby disclaims liability for any misinterpretations or misuse of tax laws, employee codes, or statutory obligations. 5. System Availability and Support 5.1 Availability For SaaS-based deployments, Vcidex shall take all reasonable efforts to keep uptime to 99.5%, excluding scheduled maintenance. 5.2 Support Channels The client may reach the support desk by: - Email - Phone (During working hours IST) - Web-based ticketing portal 5.3 Service Maintenance Any planned update(s) or patch(es) will be carried out during off-peak hours with advance notice. Emergency updates may be carried out without prior notice (especially related to payroll logic or security vulnerabilities), to preserve the integrity of the environment. 6. Subscription, Fees, and Renewals 6.1 Payment Terms Subscription fees or one-time licensing charges will be indicated on the respective executed contract or invoice. Payment shall be made in accordance with the agreed billing cycles. Late payments may cause restriction of access, suspension, or imposition of fees. 6.2 Price Changes Vcidex reserves the right to change prices with a 30-day notice to existing customers. These price changes shall not apply to existing contracts already signed. 6.3 Refunds Payments shall be outright non-refundable except as otherwise provided in a signed agreement. 7. Customization, Implementation, and Enhancements Storyboard HR & Payroll may be customized for organizational workflows, policies, and structures. All agreed-upon customization scope, delivery schedules, and fees shall be documented through mutually agreed statements of work (SOW). Any modifications made on the client’s side are not guaranteed to be compatible with any future product upgrades by Vcidex unless such modifications are included in the respective scope. 8. Employee Self-Service (ESS) and Role-Based Access Storyboard HR may provide an employee or manager self-service portal, subject to access configuration. The Client shall be responsible for configuring and maintaining user roles, levels of access, and approvals. Vcidex shall not be responsible for any internal misuse of roles, or any unauthorized actions committed by any users owing to a misconfiguration. 9. Legal and Regulatory Compliance Though the software aids in compliance with many Indian payroll norms and statutory frameworks (e.g., PF, ESI, TDS), adherence to all applicable laws remains the responsibility of the Client. Vcidex will not be held responsible for any penalty charges that are payable due to late or improper filing unless engaged with due to a proven system failure. 10. Termination of Agreement 10.1 By Client The Client may terminate this agreement by providing written notice within the time period and obligations set out in the MSA or Work Order. 10.2 By Vcidex On the happening of a :- Vcidex reserving rights of suspending or restricting access without liability upon occurrence of: 1. In the event of breach of these Terms, or misuse of the software 2. Failure to make payments within a period of 30 days from due date 3. Injuncted by any regulatory or legal obligations to discontinue service After termination, data will be retained for some time, that is, up to 45 days. Upon written request within the above time period, Vcidex will ensure the secure handover of the data. 11. Limitation of Liability Notwithstanding anything contained in the Agreement, Vcidex Solutions Pvt Ltd will not be liable to a Client or his third parties for any indirect, special, incidental, or consequential damages, including without limitation damages for loss of business, loss of revenue, or loss of employee disputes, even if Vcidex has been advised of the possibility of such damages. The total cumulative liability of Vcidex, whether in contract, tort (including negligence), or otherwise, shall not exceed and shall in any case be limited to the total amount paid by the Client to Vcidex under this Agreement for the 12-month period immediately preceding the event giving rise to the claim for liability. 12. Intellectual Property All rights, title, and interest in and to the software and related modules, source code, templates, user interface elements, and documentation remain vested with Vcidex Solutions Pvt Ltd as intellectual property. Storyboard HR and Storyboard Payroll, along with other product names of StoryboardSystems, are trademarks owned by Vcidex. 13. Change Management and Amendments When amendments to these Terms of Use are made at the discretion of Vcidex, they shall be announced either by posting on the official website or by sending a notification to the Client via email, subject to the availability of such a possibility. Continued use of the software after such modifications shall be deemed acceptance of the amended Terms. 14. Governing Law and Jurisdiction This Agreement will be construed and governed by the laws in force in India. All disputes arising out of or in connection with the present Agreement shall fall within the exclusive jurisdiction of the courts at Chennai in the State of Tamil Nadu. 15.
