Terms and Conditions of Use

Marketed by: Storyboard Systems (a business vertical of Vcidex Solutions) 
1. Acceptance of Terms 
Accessing, subscribing to, or using the Storyboard LOS software ("LOS", "Software", 
"Platform") is your acceptance of the Terms and Conditions ("Terms"), our Privacy Policy, 
and any extra rules and policies of operation which Vcidex Solutions or Storyboard Systems 
may issue from time to time. 
If you are a party entering into this Agreement on behalf of a company or another legal 
entity, you represent that you have the authority to bind such entity and its affiliates to the 
present Agreement. If you disagree with any of these terms, then you may not use the 
Software. 
2. Definitions 
"Client" is the person or entity purchasing or using the LOS Software. 
"User" is any person authorized by the Client to access or use the Platform. 
"Platform" or "Software" refers to the Loan Origination System developed by Vcidex 
Solutions. 
"Storyboard Systems" would be the commercial division responsible for Promotion, 
marketing, and distribution. 
Services refer to features, functions, modules, updates, and support related to the LOS 
software. 
3. Software License 
Subject only to payment of all applicable fees and provided you are following these Terms, 
Vcidex Solutions hereby grants you a non-exclusive, non-transferable, revocable license to 
use and access the LOS Software for your internal business purposes.  
You May- 
• Use and Access the Software for the purpose of originating, managing, and tracking 
loan applications 
• Allow authorized personnel of your organization to access the Software under your 
license 
• Export data in permitted formats for report preparation or compliance use. 
You May Not- 
• Reverse engineer, decompile, or otherwise attempt to derive the source code 
• Use the Software for unlawful acts, abuse, or unauthorized activity 
• License, sublicense, sell, or otherwise commercially exploit the Software without 
prior written consent 
• Circumvent or disable any security or digital rights management feature installed. 
4. Scope Of Services 
Storyboard LOS provides the following core modules and features (subject to subscription 
level): 
• Lead Capture & Enquiry Tracking 
• Client Onboarding 
• Document Verification and Management 
• Credit Scoring and Risk Profiling 
• Loan Product Configurations 
• Automated Underwriting Workflows 
• Approval, Disbursal, and Repayment Setup 
• Audit Trail and Compliance Logging 
• Integrations with third-party APIs (KYC, PAN/Aadhaar Verification, Credit Bureaus, 
etc.) 
Vcidex may at its own discretion improve, modify, or cease any features without notice, 
provided the modifications do not materially alter the core functionality as was promised at 
the time of purchase. 
5. User Obligations 
In the Client Sessions, it is agreed that the clients shall: 
o Publish correct registration and operational details at onboarding stages. 
o Keep access credentials and user accounts confidential. 
o Ensure only authorized users shall use the platform. 
o Comply with all applicable laws, including data protection laws, financial 
regulations, and laws regarding consumer rights. 
6. Data Ownership & Privacy 
6.1 Data Ownership: 
With respect to the data, all customer data, loan-related documents, and transaction logs 
entered by the Client shall always remain the sole property of the Client. Vcidex does not 
claim ownership of your data. 
6.2 Data usage: 
Vcidex may use anonymized and aggregated data for monitoring, analytics, improvement of 
services, and benchmarking. 
6.3 Data Storage: 
All data shall be stored on secure servers with encryption and access control. Once data 
has been exported outside the system, its accountability shall rest upon the clients. 
6.4 Data Backup: 
Regular backups form part of our routine maintenance of the infrastructure. Still, clients 
must make local backups of their own, concerning critical data.

7. Service Availability & Support 
Vcidex aims for 99.5% uptime. Planned maintenance and upgrade periods will be 
communicated beforehand wherever possible. 
7.1 Support: 
Support is provided via email and phone during working hours only. 
For critical incidents, escalation might occur 24x7 depending on the SLA tier. 
7.2 Response Time (Indicative): 
Critical Errors: <4 Hours 
Major Issues: <12 Hours 
Minor Bug: <24-48 Hours 
8. Subscription & Payment  
Subject to subscription fees based on modules chosen, volume of usage, user seats, and 
integrations, provision of access to LOS. 
All fees exclusive of applicable taxes. 
Payments are considered non-refundable except otherwise explicitly stated in a signed 
agreement. 
Late payments may attract penalties or temporary suspension of service. 
9. Confidentiality 
Each party agrees to hold in confidence and not to disclose or use any confidential 
information obtained during engagement unless in furtherance of this agreement and 
unless prior written consent shall have been obtained. 
Confidential information shall include, but shall not be limited to, client data, system 
architecture, pricing, business processes, source code, or third-party credentials. 
10. Intellectual Property 
All intellectual property rights in the LOS software, underlying code, visual interfaces, 
documentation, and branding elements remain with and shall belong solely to Vcidex 
Solutions. You should not remove or obscure any proprietary notices. 
Any suggestions or feedback you provide may be utilized by Vcidex to enhance the product 
without obligation for any compensation therefor. 
11. Integration and Third-party Services 
Storyboard LOS may integrate with third-party services (such as credit bureau APIs, eKYC, 
bank gateways). Vcidex shall not be liable for any malfunction or any loss of data, or any 
form of loss arising from third-party failure. 
Clients shall be responsible for their own contractual arrangements and API costs with 
third parties, unless otherwise agreed to in writing. 
12. Termination 
Vcidex may terminate your license to use of the LOS software if: 
You violate any of these Terms. 
You refuse to pay dues legitimately after a valid grace period. 
You involve yourself in some fraudulent or abusive activity. 
Upon termination: 
Access shall be revoked. 
Your data would be made available for export for a period of 30 days. 
Thereafter, Vcidex may delete all data unless required by law to retain it. 
13. Disclaimers 
The LOS software is offered 'as is' and 'as available'. 
Vcidex makes no warranties for continuous operation, or freedom from errors or viruses. 
Neither any financial advice given by the system nor any credit recommendation or risk 
evaluation is made subject to any legally binding agreement, nor shall such advice, 
recommendation, or evaluation be guaranteed as true. 
The client should consult regulatory authorities or auditors for advice on legal compliance. 
14. Limitation of Liability 
To the maximum extent permissible under applicable law, Vcidex shall not be liable for: 
Indirect damage 
incidental damages 
consequential damages 
Loss of business or profits, or loss of data 
Errors occasioned by the client arising out of misconfiguration, client misuse or wrongful 
operation. 
In any events liability shall not exceed the amounts paid by the Client during the past 12 
months preceding the event, giving rise to such liability. 
15. Indemnification 
Each party indemnifies the other and shall hold it harmless from any claims, damages, or 
liabilities from third parties arising from: 
A breach of these Terms of Service. 
Unauthorized use of the Software; or 
Inaccuracies in data or breaches of regulatory norms due to your input or decisions. 
16. Governing Law and Jurisdiction 
These Terms shall be governed by and construed under the laws of the Republic of India, 
without giving effect to principles of conflicts of law. Any dispute consequent to this shall 
fall under the jurisdiction of the Courts at Chennai, Tamil Nadu exclusively. 
17. Modification to Terms 
Vcidex reserves a right to change and amend these Terms at any time. You shall be notified 
of any changes either by email or in-app notification. Your continued use post changes 
shall be deemed acceptance by you of the amended Terms. 
18. Force Majeure 
In the event of any cause beyond Vcidex's reasonable control such as natural disasters, 
internet outages, cyber-attacks, or other governmental actions or strikes, Vcidex shall not 
be held liable for any such delay or non-performance.
